IHH Healthcare Berhad (“IHH”) announced the completion of its mandatory open offer for acquiring additional equity shares in Fortis Healthcare Limited (“Fortis”) and Fortis Malar Hospitals Limited (“Malar”). The announcement follows the close of the tendering period on November 4, 2025, and confirmation from BSE Limited on November 7, 2025.
Revised Shareholding in Fortis
Following the completion of the open offer, IHH’s indirect shareholding in Fortis Healthcare has increased. The company now holds 235,295,895 shares, representing approximately 31.17% of the expanded voting share capital of Fortis. This figure includes 235,294,117 shares held prior to the offer and 1,778 shares acquired through the offer.
Revised Shareholding in Malar
Similarly, IHH’s indirect shareholding in Fortis Malar Hospitals Limited has also increased. The company now holds 11,756,925 shares, representing approximately 62.73% of Malar’s voting share capital. This includes 11,752,402 shares held previously and 4,523 shares acquired through the offer.
Transaction Details
The open offer was made by Northern TK Venture Pte Ltd (“NTK”), an indirect wholly-owned subsidiary of IHH. The results are subject to completion actions for the transfer of shares and payment of consideration to the shareholders who tendered their shares in the open offer.
