Emami Limited has reached an agreement to purchase approximately ~73.5% stake in its associate company, Axiom Ayurveda Private Limited (AAPL). The Board of Directors formally agreed to this transaction on March 31, 2026. Upon the successful completion of this purchase, Emami Limited will hold 100% of AAPL’s paid-up capital, transforming Axiom into a wholly-owned subsidiary.
Transaction Details and Consideration
The acquisition targets the remaining equity not already held by Emami, which currently stands at ~26.5%. The total consideration agreed upon for acquiring the balance stake in AAPL is an aggregate amount of up to ₹200 Crores (Rupees Two Hundred Crores), payable in Cash. The indicative time period set for the completion of this acquisition is by June 30, 2026.

Axiom Ayurveda Private Limited operates in the Fast Moving Consumer Goods – Healthy Beverages industry. The company was incorporated on November 14, 2019, in Haryana. AAPL is recognized for its proprietary fusion of aloe vera pulp with fruit blends, though it also maintains portfolios in personal care, contributing ~15-20% of its branded business.
The consolidated turnover figures for AAPL are noted as follows:

Related Party Status Clarification
It was confirmed that this proposed transaction does not fall within the purview of related party transactions. None of Emami’s promoter/promoter group/group companies have any existing interest in AAPL, other than the existing association of AAPL with Emami Limited prior to this full takeover.
