eClerx Completes Buy Back of 625,000 Equity Shares at ₹4,800 Per Share

eClerx Services Limited has successfully completed its buy back offer, purchasing 625,000 equity shares at a price of ₹4,800 per share. The total outlay for the buy back was ₹3,000 Million. The buy back, executed through a tender offer route, saw valid bids for over 1.3 million shares, exceeding the number of shares the company intended to repurchase.

eClerx Services Limited officially announced the completion of its buy back program on January 2, 2026. Through a tender offer, the company repurchased 625,000 equity shares, representing a significant capital reallocation. The buy back price was set at ₹4,800 per equity share, totaling an expenditure of ₹3,000 Million, excluding transaction costs.

Offer Details and Shareholder Response

The buy back opened on December 22, 2025, and closed on December 29, 2025. KFin Technologies Limited, the registrar for the buy back, received a total of 1,802 valid bids for 1,311,679 equity shares. This represents an oversubscription of approximately 2.10 times the targeted buy back quantity. Acceptance and rejection communications were sent to eligible shareholders on January 2, 2026.

Settlement and Extinguishment

The settlement of valid bids was completed on January 2, 2026, by the Indian Clearing Corporation Limited, ensuring direct funds payout to shareholders whose shares were accepted. The company is currently processing the extinguishment of the repurchased shares, which is expected to be completed by January 13, 2026.

Impact on Capital Structure

Following the buy back, eClerx’s issued, subscribed, and paid-up capital has changed. Before the buy back, the capital stood at ₹476,503,590 (47,650,359 equity shares at ₹10 each). Post buy back, it is now ₹470,253,590 (47,025,359 equity shares at ₹10 each). The authorized share capital remains at ₹1,000,000,000.

Key Shareholders Participating

Several key shareholders participated in the buy back, including HDFC Mutual Fund (multiple schemes) which had 1,86,050 shares accepted, and Bandhan Small Cap Fund with 1,25,096 shares accepted. Other notable participants include Ashoka Whiteoak ICAV, Mahindra Manulife Small Cap Fund, and ICICI Prudential Smallcap Index Fund.
