NCLT Approves Dissolution
The approval for the dissolution was granted by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, vide an order reserved on February 27, 2026. The official order was received by the Liquidator on March 9, 2026, at 04:48 P.M. (IST). The proceedings were conducted under the Insolvency and Bankruptcy Code, 2016, leading to the satisfaction that the voluntary liquidation process was conducted in accordance with the law.
Financial Contribution of the Subsidiary
The disclosure highlights the financial significance of Suburban to the listed entity as of March 31, 2024:
- Turnover: INR 164.03 Crore, contributing 7.37% to consolidation.
- Net Worth: INR 126.62 Crore, representing 7.05% of consolidation.
Completion of Liquidation Requirements
The Liquidator confirmed that the process met all prerequisites:
- The Board of Directors approved the proposal for voluntary liquidation on February 6, 2025.
- The Liquidator, Mr. Dilipkumar Natvarlal Jagad, was appointed via Special Resolution passed on February 6, 2025.
- All claims were settled, assets realized, and the Voluntary Liquidation Bank Account was closed on February 17, 2026, with NIL balance.
- The Final Report dated February 13, 2026, and the Compliance Certificate were filed, leading the NCLT to declare that the Corporate Person deserves to be dissolved under Section 59(8) of the Code.
Consequently, the Liquidator stands discharged from all duties and responsibilities as of the date of the Order, and the dissolution of Suburban Diagnostics (India) Private Limited is effective immediately upon the Order date.
