Managing Director Resigns
Dr. V Prasada Raju has resigned from his position as Managing Director and Director of Cohance Lifesciences, effective at the close of business hours on October 28, 2025. The Board of Directors acknowledged his resignation during their meeting on October 28, 2025. While stepping down from his official roles, Dr. Raju will remain available to the company under his contractual terms to facilitate a smooth transition of responsibilities.
New Appointment to the Board
Based on the recommendation of the Nomination and Remuneration Committee, Mr. Himanshu Agarwal, currently serving as Chief Financial Officer, has been appointed as an Additional Director and Whole-time Director of the company for a 5-year term. This appointment becomes effective October 29, 2025. Furthermore, Mr. Agarwal will continue to serve as the Chief Financial Officer of the company. His appointment is contingent upon approval from the shareholders, which will be sought through a postal ballot process.
Key Managerial Personnel Update
The company has revised its list of authorized Key Managerial Personnel for determining the materiality of events and information disclosures. These revisions will be effective from October 29, 2025.
