Formation of New Wholly Owned Subsidiary

CESC Limited formally announced the establishment of a new subsidiary company on March 13, 2026. This entity, named Purvah Bikaner V Two Power Private Limited (PBTPPL), has been incorporated as a Wholly Owned Subsidiary (WOS) of Purvah Green Power Private Limited (Purvah), which itself is a subsidiary of CESC.

Strategic Focus and Capitalization

The primary business objective for PBTPPL is to explore opportunities in the renewable power sector. As a newly incorporated company, it currently has no turnover.

The details regarding the capitalization are as follows:

  • The subscribed and paid-up capital of PBTPPL is Rs. 1,00,000/- (Rupees One Lakh Only).
  • This incorporation is a further step down the chain, as CESC holds 87.99% in Purvah, which now wholly owns PBTPPL.

Compliance and Transaction Details

Since PBTPPL is a newly incorporated entity, the transaction does not fall under related party transactions. Furthermore, there are no governmental or regulatory approvals required at this stage beyond the standard incorporation processes. The acquisition structure is internal, involving the incorporation by the intermediate subsidiary, Purvah.

The official date of incorporation for the new venture is confirmed as March 13, 2026.
