Computer Age Management Services (CAMS) announced that its subsidiary, CAMS Payment Services Private Limited (CAMSPAY), has received authorization from the Reserve Bank of India (RBI) to operate as a Payment Aggregator. CAMSPAY received a Certificate of Authorisation dated December 16, 2025. The company is transferring its Payment Aggregator Business to CAMSPAY via a slump sale, expected to close on December 31, 2025.
Payment Aggregator Business Update
Computer Age Management Services (CAMS) has shared an update regarding its Payment Aggregator business. Its wholly-owned subsidiary, CAMS Payment Services Private Limited (CAMSPAY), has been granted a Certificate of Authorisation by the Reserve Bank of India (RBI).
Authorization Details
The Certificate of Authorisation, bearing No. 268/2025, was issued to CAMSPAY on December 16, 2025. This authorization enables CAMSPAY to function as a Payment Aggregator. With this development, the Certificate of Authorisation No. 183/2024, which was previously issued to Computer Age Management Services Limited, will be cancelled within fifteen days after the Payment Aggregator business transfer formalities are completed.
Business Transfer Agreement
CAMS has also executed a Business Transfer Agreement (BTA) on December 17, 2025, for the sale and transfer of its Payment Aggregator Business to CAMSPAY. This transfer will be executed on a slump sale basis, with a tentative closing date set for December 31, 2025.
Slump Sale Rationale
The Company is looking to carve out its Payment Aggregator Business Undertaking under its wholly owned subsidiary on a going concern basis, by way of slump sale, for a lumpsum consideration. The consideration is expected to be up to Rs. 8.5 Crores, subject to any movement in working capital and other items in the intervening period up to completion.
Financial Impact
The Payment Aggregator Business undertaking contributed 3.74% of the turnover with INR 4,987 Lakhs. The Company’s total turnover was INR 133,390.02 Lakhs, for the period ending March 31, 2025.
