Brainbees Solutions (Firstcry) has announced it will acquire additional shares in its subsidiary, Swara Baby Products, increasing its stake from 75.92% to 76.59%. The transaction involves shares of Solis Hygiene Private Limited. Additionally, Neha Surana has resigned as Company Secretary, and Mandar Joshi has been appointed as her replacement, effective December 27, 2025.
Swara Baby Share Acquisition
Firstcry, through Brainbees Solutions Limited, will increase its ownership in Swara Baby Products Private Limited (“Swara Baby”). The move is part of an intra-group restructuring. The company will acquire an additional 56,26,738 Equity Shares in Swara Baby. The Board approved this acquisition on December 26, 2025, based on the recommendation of the Audit Committee.
This acquisition is in consideration of 52,890 Series A1 Equity Shares held by the company in Solis Hygiene. After Swara Baby acquires 100% stake in Solis Hygiene, the company’s shareholding in Swara Baby will increase from 75.92% to 76.59%. Following this, Solis Hygiene will become a step-down subsidiary, giving the company indirect control of 76.59%.
Company Secretary Update
Neha Surana has resigned from her position as Company Secretary and Compliance Officer, effective at the close of business hours on December 26, 2025. She will remain with the company as part of the Secretarial Team.
To fill the vacancy, Mandar Joshi has been appointed as the new Company Secretary & Compliance Officer and Key Managerial Personnel (KMP), effective December 27, 2025. His appointment was approved by the Board of Directors based on the recommendation of the Nomination & Remuneration Committee.
