Acquisition Completion
Brainbees Solutions has finalized the acquisition of Swara Baby Products Private Limited (“Swara Baby”), effective as of January 8, 2026. This acquisition increases Brainbees’ shareholding in Swara Baby to 76.59%.
Solis Hygiene Status
Following the acquisition of Swara Baby, Solis Hygiene Private Limited (“Solis Hygiene”) now becomes a wholly-owned, step-down subsidiary of Brainbees Solutions. The indirect control of Brainbees Solutions in Solis Hygiene will be 76.59%.
Details of Share Acquisition
The acquisition involved 56,26,738 additional Equity Shares in Swara Baby. This was in consideration of 52,890 Series A1 Equity Shares held by the Company in Solis Hygiene and the issuance of equity shares in Swara Baby. This concludes the process that began with the intimation on December 26, 2025, where it was agreed that Swara Baby would acquire 100% stake in Solis Hygiene. The acquisition includes 66,665 Equity Shares (Series A1) of Solis Hygiene, allotted as 70,92,200 Equity Shares of Swara Baby.
