Bosch Limited has announced the strategic acquisition of 100% of Bosch Chassis Systems India Private Limited for a consideration not exceeding ₹9,068.68 crore. This consolidation aims to integrate automotive safety and braking solutions into its existing portfolio. The acquisition, set for completion by July 7, 2026, will be funded through a mix of cash and the issuance of 2,460 equity shares on a preferential basis to the existing shareholders.

Strengthening the Mobility Portfolio

In a significant move to enhance its mobility offerings, the Board of Directors of Bosch Limited has approved the acquisition of Bosch Chassis Systems India Private Limited. This target company is a market leader in automotive safety systems, including antilock braking systems (ABS), electronic stability control, and passive safety technologies. By integrating these mechanical mobility solutions, the company expects to provide a more comprehensive, future-ready platform to its customers.

Transaction Details and Financial Impact

The total consideration for the 100% stake acquisition is capped at ₹9,068.68 crore. The payment structure includes a cash component and the issuance of 2,460 equity shares at a price of ₹35,200 per share. This transaction is designed to be accretive, with proforma figures indicating an increase in FY25 earnings per share (EPS) from ₹683 to ₹720. Furthermore, the combined entity would have reported a higher revenue base of ₹220,233 million for FY25.

Strategic Rationale and Future Outlook

The acquisition allows for the consolidation of safety and braking systems with the company’s existing power solutions business.
