The President of India, through the Ministry of Heavy Industries, has announced the exercise of the Oversubscription Option in the Offer for Sale (OFS) of Bharat Heavy Electricals Limited (BHEL) equity shares. The total sale size now stands at up to 17,41,03,168 Equity Shares, representing 5% of the total paid-up capital. The retail portion, amounting to 10% of the total offer, is reserved for February 12, 2026 (T+1 day).
BHEL Offer for Sale: Oversubscription Confirmed by Promoter
This official communication, dated February 11, 2026, confirms the intention of the Seller—the President of India, acting through the Ministry of Heavy Industries—to exercise the Oversubscription Option in the Offer for Sale (OFS) pertaining to the equity shares of Bharat Heavy Electricals Limited (BHEL).
The initial proposed sale (Base Offer Size) was for 10,44,61,901 Equity Shares, equivalent to 3% of the total issued and paid-up equity share capital. Following the decision, the Oversubscription Option has been fully exercised to the extent of 6,96,41,267 Equity Shares, representing an additional 2% of the paid-up capital.
Total Offer Size Details
As a result of exercising the option, the total Offer Size has been increased substantially. The aggregate number of Equity Shares being offered for sale will now be up to 17,41,03,168 Equity Shares. This revised figure represents 5% of the total issued and paid-up Equity Share capital of the Company.
It is noted that 1,74,10,318 Equity Shares, which constitutes 10% of the total Offer, is reserved for the Retail Category. This retail portion will be available on T+1 day, i.e., February 12, 2026, subject to valid bids.
Employee Share Allocation
Furthermore, an additional allocation may be made for eligible employees. Up to 87,05,158 Equity Shares, equivalent to 0.25% of the total issued and paid-up equity share capital, may be offered under the Employee Offer mechanism, pending necessary approvals from the competent authority.
The announcement was authorized by Swaminathan Nagarajan, Under Secretary, acting on behalf of the President of India, Ministry of Heavy Industries, Government of India.
