The acquisition is subject to the decision of the National Company Law Tribunal (NCLT), Mumbai Bench, and any other relevant courts or tribunals. AAEPL, incorporated on July 17, 1996, is currently undergoing a Corporate Insolvency Resolution Process (CIRP) which commenced on December 6, 2022.

AAEPL’s Business Overview

A A Estates Private Limited (AAEPL) is involved in real estate activities, holding development rights in multiple projects across Mumbai. The cash consideration for this acquisition is ₹36,00,00,000. Authum Investment will acquire 90% control of AAEPL through this resolution process. The turnover for AAEPL as per Financial Statements for FY 2019-2020 is NIL.

Strategic Rationale

This acquisition represents a strategic investment in the real estate sector, enabling Authum Investment to leverage the underlying assets and generate revenue through monetization. Completion of the acquisition is expected within 30 days from the date of approval by the Hon’ble National Company Law Tribunal, Mumbai Bench (Adjudicating Authority).
