Aster DM Healthcare NCLT Approves Meetings for Quality Care India Merger

Aster DM Healthcare has received approval from the National Company Law Tribunal (NCLT) to convene meetings for shareholders and unsecured creditors regarding the proposed merger with Quality Care India Limited. The meetings are scheduled between February 27, 2026, and March 13, 2026. All approvals are expected by Q1 FY27. The combined entity, promoted by Aster Promoters and Blackstone, will operate under the name ‘Aster DM Quality Care’.

NCLT Greenlights Merger Meetings

Aster DM Healthcare has secured an order from the National Company Law Tribunal (NCLT) to proceed with meetings for shareholders and unsecured trade creditors. These meetings aim to secure approval for the proposed merger with Quality Care India Ltd. The NCLT’s Hyderabad Bench issued the order. The meeting date is set between February 27, 2026, and March 13, 2026.

Merger Details and Timeline

The proposed merger has already secured approvals from the Competition Commission of India (CCI) and has received ‘No Objection’ letters from the Stock Exchanges. The company anticipates concluding the merger process by Q1 FY27, pending regulatory approvals and fulfillment of precedent conditions. The merged entity will be known as ‘Aster DM Quality Care’.

Combined Entity Vision

The combined entity ‘Aster DM Quality Care’ is planned to be promoted by Aster Promoters and Blackstone, bringing together the strengths of both healthcare providers to enhance access to high-quality medical care. The combined bed strength of Aster and QCIL is over 10,360 as of September 30, 2025, with Aster having 5,195+ beds and QCIL having 5,165+. The merged entity aims to increase bed capacity to around 14,715+ beds in the coming years.
