Akzo Nobel India Enters Licensing Agreements Post JSW Paints Acquisition

Akzo Nobel India (ANIL) has entered into new licensing agreements with Akzo Nobel N.V. (AN N.V.) following JSW Paints Limited’s acquisition of ANIL’s shares. These agreements include an Intellectual Property License Amendment and Consolidation Agreement (IPLA) and a Corporate Brand License Agreement (CBLA). The IPLA allows ANIL to use intellectual property rights on a royalty-bearing basis, while the CBLA permits the use of the ‘Corporate Brand’ on a royalty-free basis for a transitional period.

Licensing Agreements Overview

Akzo Nobel India Limited (ANIL) has disclosed the execution of two significant licensing agreements with its ultimate holding company, Akzo Nobel N.V. (AN N.V.). These agreements are effective following JSW Paints Limited’s acquisition of shares in ANIL. The agreements were finalized on November 12, 2025.

Intellectual Property License Agreement (IPLA)

ANIL has entered into an Intellectual Property License Amendment and Consolidation Agreement (IPLA) with AN N.V. The IPLA allows ANIL to utilize certain intellectual property rights, including copyright, patents, domain names, trademarks, and related know-how, for its performance coatings business within India, Bangladesh, Bhutan, Nepal and Sri Lanka. This license is on a royalty-bearing basis. ANIL retains the right to sub-license these intellectual property rights to its affiliates and third parties.

Corporate Brand License Agreement (CBLA)

Additionally, ANIL has secured a Corporate Brand License Agreement (CBLA) with AN N.V. The CBLA permits ANIL to use the ‘Corporate Brand’ (including trademarks and trade names relating to ‘Akzo Nobel’ and ‘ICI’) on a royalty-free basis during a transitional period. This transitional period is set for 15 months from the completion of the share acquisition, as defined in the Share Purchase Agreement (SPA).

Impact and Restrictions

Neither the IPLA nor the CBLA is expected to exert any change in management or control of ANIL. It’s worth noting that Imperial Chemical Industries Limited and Akzo Nobel Coatings International B.V. were promoters of ANIL with AN N.V. as ultimate parent. Post JSW Paints acquisition, these will cease to exert control. ANIL is required to phase out the use of the AkzoNobel brand within 12-18 months.
