Adani Ports and Special Economic Zone Early Results Announced for Cash Tender Offers on Senior Notes

Adani Ports and Special Economic Zone (APSEZL) has announced the early results for its cash tender offers concerning its outstanding 4.00% Senior Notes due 2027 and 3.10% Senior Notes due 2031. The early results were determined as of the Early Tender Date, February 24, 2026. The company received tenders totaling US$101.58 million for the 4.0% Notes and US$95.36 million for the 3.10% Notes, both well within their respective Maximum Acceptance Amounts.

Adani Ports Announces Early Tender Offer Results

Adani Ports and Special Economic Zone Limited (the “Company”) today announced the early results for its previously announced Cash Tender Offers to purchase for cash its outstanding 4.0% Senior Notes due 2027 and 3.10% Senior Notes due 2031. This announcement follows previous intimations made in May 2025 and February 2026.

Aggregate Principal Amount Tendered

The deadline to receive Early Tender Offer Consideration expired at 5:00 p.m., New York time, on February 24, 2026 (the “Early Tender Date”). As of this date, the Company received the following valid tenders that had not been withdrawn:

  • 4.0% Notes (due 2027): Aggregate Principal Amount Tendered: US$101,584,000 (Maximum Acceptance Amount: US$345,137,000).
  • 3.10% Notes (due 2031): Aggregate Principal Amount Tendered: US$95,360,000 (Maximum Acceptance Amount: US$150,000,000).

Early Settlement Expectations

Subject to the satisfaction of conditions outlined in the Tender Offer Memorandum, the Early Settlement Date for notes accepted at or prior to the Early Tender Date is expected to be on or about February 27, 2026. On this date, the Company expects to pay the Early Tender Offer Consideration, plus accrued and unpaid interest up to but excluding the Early Settlement Date.

The overall Tender Offers will officially expire at 5:00 p.m. (New York City time) on March 11, 2026 (the “Expiration Date”), unless otherwise extended, re-opened, or amended at the Company’s sole discretion.
