Adani Enterprises has finalized a restructuring of its stake in AWL Agri Business Limited. This involved the sale of shares to Lence Pte. Ltd., resulting in Adani Enterprises holding 7.00% of AWL. A termination agreement was executed, ending previous shareholder agreements. Consequently, AWL is no longer an associate company of Adani Enterprises as of November 19, 2025.
Stake Sale and Shareholding Changes
Adani Enterprises has completed the sale of equity shares in AWL Agri Business Limited (“AWL”) to Lence Pte. Ltd. This transaction reduces Adani Enterprises’ stake in AWL to 7.00% of the issued and paid-up share capital. Lence Pte. Ltd. now holds 56.94% of AWL.
The sale involved an off-market transaction where 168,958,219 equity shares, representing 13% of AWL’s equity, were sold to Lence. Earlier, on July 18, 2025, Adani Enterprises sold 13,54,82,400 equity shares (10.42%) of AWL via a block deal.
Termination of Agreements
On November 19, 2025, Adani Enterprises, AWL, and Lence executed a termination agreement. This agreement terminated previous shareholder agreements, including the agreement dated July 30, 2021.
AWL’s Status Post-Transaction
Following the completion of these transactions and the termination agreement, AWL has ceased to be an associate company of Adani Enterprises as of November 19, 2025.
