Share India Securities Limited has announced a meeting of its Non-Convertible Debenture (NCD) holders to seek approval for the early redemption of 9,990 NCDs. The debentures, comprising Series A and Series B, have a total principal value of ₹74,90,00,000. The proposed redemption, if approved, would be effective prior to their scheduled maturity dates, with payments made as per the terms of the Debenture Trust Deed.

Share India Securities Limited is calling a meeting of its Non-Convertible Debenture (NCD) holders to approve the early redemption of its outstanding debentures. The meeting is scheduled for Tuesday, August 25, 2026, and will be conducted via Video Conferencing (VC) / Other Audio-Visual Means (OAVM).

Proposed Redemption Details

The primary agenda item is to consider and approve the redemption of 9,990 secured, listed, rated, and transferable Non-Convertible Debentures. These debentures were originally issued on a private placement basis. The resolution seeks consent for the early redemption of:

  • 5,000 Series A NCDs (ISIN: INE932X07023) with a face value of ₹50,000/- each, aggregating to ₹25,00,00,000/-.
  • 4,990 Series B NCDs (ISIN: INE932X07015) with a face value of ₹1,00,000/- each, aggregating to ₹49,90,00,000/-.

The proposed redemption includes the principal amount along with accrued interest and all other payable amounts, to be settled prior to the debentures’ scheduled maturity.

Board Authority and Next Steps

The Board of Directors has been authorized to take all necessary steps for the early redemption, including seeking approvals, finalizing dates, and making necessary intimations to regulatory bodies and stock exchanges. The resolution requires approval from debenture holders representing more than 50% of the aggregate outstanding principal amounts of Series A and Series B NCDs. The notice also details the procedures for remote e-voting, which commenced on Saturday, August 22, 2026, and concludes on Monday, August 24, 2026. The cut-off date for eligibility to vote was Tuesday, August 18, 2026.
