ZEEL, Punit Goenka, Subhash Chandra Penalized by SEBI

SEBI has imposed penalties and debarment on Zee Entertainment Enterprises Ltd. (ZEEL), its Chairman and Non-Executive Director Mr. Punit Goenka, and former MD & CEO Mr. Subhash Chandra. The action follows findings of unauthorized pledging of ZEEL’s Hyderabad property as security for loans, related party transaction violations, disclosure failures, and providing incorrect information during investigations. The penalties range from 2 months to 12 months of debarment and significant monetary fines totaling ₹1.28 Crore across the entities.

SEBI Imposes Penalties on ZEEL and Key Personnel

The Securities and Exchange Board of India (SEBI) has levied penalties and debarment on Zee Entertainment Enterprises Ltd. (ZEEL), Mr. Punit Goenka, and Mr. Subhash Chandra concerning violations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and SEBI Act, 1992. The announcement, dated August 2, 2026, details findings related to an unauthorized pledge of ZEEL’s Hyderabad property and subsequent disclosure lapses.

Key Violations and Findings

The core of SEBI’s findings revolves around the execution of a Declaration and Acknowledgement in December 2018, where ZEEL’s Hyderabad property was purportedly used as security for loans availed by promoter-related entities. SEBI determined that this constituted a related-party transaction which required prior approval from ZEEL’s Audit Committee, a step that was not taken. Furthermore, the company and its key personnel failed to make necessary disclosures regarding the transaction and its material developments, thereby misrepresenting the financial position to stakeholders.

Penalties and Debarment

The penalties imposed are as follows:

  • ZEEL has been debarred from accessing the securities market for 2 months and penalized ₹30 Lakhs for various violations including related party transaction rules and disclosure norms.
  • Mr. Punit Goenka faces a debarment of 12 months and penalties totaling ₹58 Lakhs for multiple violations, including those related to the fraudulent scheme and disclosure failures.
  • Mr. Subhash Chandra is also debarred for 12 months and penalized ₹60 Lakhs for his role in the scheme, including violations of disclosure norms and PFUTP regulations.

The penalties are to be remitted within forty-five (45) days from the order receipt date through SEBI’s online payment portal.
