Zee Entertainment: Shareholders OK ₹3,143 Crore Fund Raise and ESOP

Zee Entertainment Enterprises Ltd. (ZEEL) shareholders have overwhelmingly approved resolutions for a substantial fund-raising exercise and the implementation of the ‘Truly Yours’ Employee Stock Option Plan (ESOP). The approval allows for the issuance of 24,94,85,563 warrants to a promoter group entity at ₹126 per warrant, infusing ₹3,143.5 crore into the company. This move is set to strengthen ZEEL’s financial foundation, support growth initiatives, and align employee interests with shareholder value.

ZEEL Secures Major Shareholder Approval for Growth Initiatives

In an Extraordinary General Meeting (EGM) held on July 31, 2026, Zee Entertainment Enterprises Ltd. (ZEEL) announced that its shareholders have granted approval for critical resolutions aimed at bolstering the company’s financial health and strategic execution. The approvals pave the way for a significant infusion of capital and enhanced employee participation.

Significant Fund Infusion via Warrants

Shareholders have greenlit the issuance of 24,94,85,563 warrants to a promoter group entity on a preferential basis. Each warrant is priced at ₹126, resulting in a total investment of ₹3,143.5 crore by the promoters. This transaction is expected to elevate the total promoter shareholding to 23.79%, significantly strengthening ZEEL’s financial foundation and providing capital for new strategic growth avenues.

‘Truly Yours’ ESOP to Incentivize Human Capital

Further reinforcing its commitment to its workforce, ZEEL’s shareholders also approved the implementation of the ‘Truly Yours’ Employee Stock Option Plan (ESOP). This plan will involve granting 3,74,22,835 stock options to eligible employees across ZEEL and its subsidiary companies. With a face value of ₹1 per option, the ESOP aims to align the interests of the company’s talent with long-term shareholder aspirations, fostering innovation and accountability.

Gopalan, Chairman of Zee Entertainment Enterprises Ltd., expressed gratitude, stating, “This approval is a clear reflection of the shareholders’ belief in the Company and its management.” He highlighted that the promoter fund infusion will enable ZEEL to stay ahead of competition and generate higher value.
