This transaction, valued at ₹15.31 crore, raises Prism Johnson’s shareholding from 90% to 98.5% on a fully diluted basis. The acquisition was completed on July 31, 2026, solidifying the company’s control over its ceramic tile manufacturing operations.

Prism Johnson Expands Control in Samini Ceramics

Prism Johnson Limited announced today, July 31, 2026, the successful purchase of 52,78,500 equity shares in its subsidiary, Samini Ceramics Limited. The shares were acquired from M/s Sentini Buildtech LLP, an existing shareholder, for a total consideration of ₹15,30,76,500. This strategic move significantly enhances Prism Johnson’s ownership and control over Samini Ceramics.

Increased Shareholding and Impact

Following the completion of this transaction, Prism Johnson Limited’s shareholding in Samini Ceramics Limited has risen from 90% to 98.5% on a fully diluted basis. Samini Ceramics, formerly known as Sentini Cermica Limited, is engaged in the manufacturing of ceramic tiles at its plant in Vijaywada, Andhra Pradesh. The increased stake is expected to further integrate Samini’s operations within Prism Johnson’s broader business strategy and potentially improve synergies and profitability.

Samini Ceramics was incorporated on January 11, 2002. The company is a manufacturer of ceramic tiles, with its operations primarily based in Vijaywada, Andhra Pradesh. For the last three financial years, Samini reported turnover figures of ₹78.40 Crores (FY 2023-24), ₹71.13 Crores (FY 2024-25), and ₹61.18 Crores (FY 2025-26). The acquisition is not considered a related party transaction, and the promoter/promoter group/group companies have no interest in Samini beyond their existing shareholding in Prism Johnson.
