Federal Bank: Schedules 95th AGM for Aug 21, Proposes ₹1.20 Dividend

Federal Bank has announced its 95th Annual General Meeting (AGM) will be held virtually on August 21, 2026. The bank also proposed a final dividend of ₹1.20 per equity share (60%) for the financial year 2025-26, subject to shareholder approval. The record date for dividend eligibility is set for August 14, 2026. The AGM will cover key business items including the adoption of financial statements, dividend approval, and re-appointments to the board.

Federal Bank Announces 95th AGM Details

Federal Bank will convene its 95th Annual General Meeting (AGM) on Friday, August 21, 2026, at 11:00 A.M. IST. The meeting will be conducted entirely through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) as per the directives from the Ministry of Corporate Affairs and SEBI. Shareholders will be able to attend and participate in the AGM via VC/OAVM only.

Proposed Dividend and Financial Year 2025-26 Report

The Bank has fixed Friday, August 14, 2026, as the record date for determining eligible members for the final dividend. The Board of Directors has recommended the payment of a final dividend of ₹1.20 per equity share (60%) for the financial year ended March 31, 2026. The Integrated Annual Report for the financial year 2025-26, along with the Notice of the 95th AGM, is being sent to members through electronic mode.

Key Agenda Items

The agenda for the AGM includes:

  • Adoption of Audited Financial Statements for the Financial Year ended March 31, 2026.
  • Approval of the final dividend for Financial Year 2025-26.
  • Re-appointment of Mr. Krishnan Venkat Subramanian as Managing Director & Chief Executive Officer, who retires by rotation and is eligible for re-appointment.
  • Appointment of Joint Statutory Auditors and fixing their remuneration.
  • Taking on record the RBI approval for the appointment of Mr. Elias George as Part-Time Chairman and approving his remuneration.
  • Re-appointment of Mr. Sankarshan Basu as Non-Executive Independent Director for a second term.
  • Raising of funds through issuance of Bonds/Debt Instruments.

The Bank is providing an electronic voting facility for members to exercise their right to vote on all items of business. The e-voting period will commence on Tuesday, August 18, 2026, at 09:00 a.m. and end on Thursday, August 20, 2026, at 5:00 p.m.
