The fund purchased 7,50,000 shares on June 08, 2026, pushing its total shareholding in the company beyond the 5% threshold of its paid-up capital. This acquisition is stated to be for investment purposes, not for gaining controlling interest.

ICICI Prudential Acquires JK Lakshmi Cement Shares

ICICI Prudential Mutual Fund (the Fund) has announced a substantial acquisition of equity shares in JK Lakshmi Cement Ltd. The transaction, which took place on June 08, 2026, involved the purchase of 7,50,000 shares. This strategic move has resulted in the Fund’s shareholding in JK Lakshmi Cement Ltd. exceeding 5% of the company’s paid-up capital.

Investment Strategy

The acquisition was undertaken from an investment perspective by the Fund’s various schemes and investment strategies. ICICI Prudential Asset Management Company Limited clarified that the intent behind this transaction is not to gain any controlling interest in JK Lakshmi Cement Ltd. Disclosures regarding this substantial acquisition have been made in compliance with Regulation 29(1) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Shareholding Details

Prior to this acquisition, ICICI Prudential Mutual Fund held 61,84,525 shares, representing 4.982% of the total voting capital. Following the purchase of an additional 7,50,000 shares, the total holding now stands at 69,34,525 shares, which accounts for approximately 5.586% of the total voting capital. The shares were acquired through the Open Market.

Company Capital Structure

As of the date of acquisition, the equity share capital and total voting capital of JK Lakshmi Cement Ltd. before the said acquisition was ₹62,07,22,130, comprising 12,41,44,426 shares of face value ₹5/- each. This structure remained the same after the acquisition.
