The meeting will be held via Video Conferencing (VC) and other Audio-Visual Means (OAVM). Shareholders will be eligible to attend and vote based on the status of their holdings as of the cut-off date, which is set for June 23, 2026. Remote e-voting will remain open from June 26 to June 29, 2026.
Strategic Capital Expansion
To support future growth initiatives, the board has proposed to seek shareholder approval for raising up to ₹4,000 crore. This funding will be executed in one or more tranches using various methods, including private placement, public issues, rights issues, or qualified institutional placements. The capital may be raised through the issuance of equity shares, preference shares, bonds, debentures, or non-convertible debt instruments.
Auditor Re-appointment
The company has recommended the re-appointment of M/s. Walker Chandiok & Co LLP as Statutory Auditors. The firm has been proposed for a second consecutive five-year term, spanning from the conclusion of the 13th AGM until the conclusion of the 18th AGM in 2031, subject to approval by shareholders.
Dividend Update
The Board has reaffirmed the final dividend for the financial year 2025-26 at ₹5 per equity share, amounting to a 250% dividend. The record date for determining the eligibility of members to receive this dividend is June 23, 2026.
