Apollo Health and Lifestyle Limited (AHLL) is combining its Apollo Cradle and Apollo Fertility businesses with Cloudnine to create one of India’s largest integrated maternity and fertility platforms. Valued at INR 1,550 crores, the deal grants AHLL a 9.9% equity stake in the combined entity, establishing it as the largest non-financial shareholder. The merger will feature a network of 55+ centers, offering enhanced clinical care across major Indian markets.

Building a Leading Healthcare Platform

In a significant expansion of its specialized healthcare footprint, Apollo Hospitals Enterprise Limited has announced that its subsidiary, Apollo Health and Lifestyle Limited (AHLL), will merge its maternity and fertility verticals with Kids Clinic India Limited (Cloudnine). This strategic move aims to create a dominant, integrated platform dedicated to women and children’s health across India.

Transaction and Valuation Details

The transaction values AHLL’s standalone mother, child, and fertility businesses at INR 1,550 crores. Following the completion of the deal, AHLL will receive a combination of cash and a 9.9% equity stake in the combined entity. This investment secures AHLL’s position as the primary non-financial shareholder, supported by board representation through a nominee director. The combined organization will be backed by prominent investors, including Temasek, True North, and TPG NewQuest.

Strategic Benefits and Future Outlook

The integrated platform will operate with over 55 centers, leveraging a massive pool of senior clinicians and world-class governance structures. By merging the strengths of the Apollo Cradle, Apollo Fertility, and Cloudnine brands, the entity plans to accelerate service delivery in both Tier 1 and Tier 2 locations. Dr. Sangita Reddy, Chairperson of AHLL, emphasized that the partnership serves as a pivotal moment for women’s healthcare, promising to improve patient outcomes and continuity of care from prevention to high-risk neonatal intensive care.
