KPIT Technologies has announced a strategic acquisition of Israeli-based automotive cybersecurity specialist Cymotive Technologies. This move aims to integrate advanced cybersecurity solutions into vehicle platforms, enhancing KPIT’s core software-defined vehicle (SDV) capabilities. The transaction follows a phased investment model, with initial funding of USD 10 million in preference capital. This deal is designed to scale KPIT’s product-led revenue streams and strengthen its long-term value proposition for global automotive OEMs.
Strategic Rationale for Acquisition
KPIT Technologies is expanding its footprint in the automotive technology sector by acquiring Cymotive Technologies, a specialist in end-to-end vehicle lifecycle cybersecurity. The partnership, formed with the automotive software division of the Volkswagen Group, allows KPIT to integrate critical security architecture, threat modeling, and intrusion detection systems into its current offerings. This alignment serves to bolster KPIT’s mission of providing AI-led, software-defined vehicle (SDV) solutions to global OEMs.
Transaction and Investment Structure
The acquisition will be executed in phases using a 100% cash consideration structure:
- Initial Investment: KPIT will invest USD 10 million in preference capital, expected to close by mid-June 2026.
- Equity Conversion: Upon achieving specific performance milestones, this capital will convert to a 26% equity stake within 8 quarters.
- Future Acquisition: KPIT plans to acquire the remaining balance to achieve 100% ownership by mid-2029.
Depending on future revenue and EBIT performance, the total consideration for this acquisition is estimated to range between USD 60 million and USD 120 million.
Growth and Product Impact
Cymotive brings a suite of specialized cybersecurity products, including the Cybersecurity Management System (CSMS), CyClarity for automated testing, and CarAlert for vulnerability management. By incorporating these products, KPIT expects to move beyond traditional engineering engagements toward product and licensing-led revenue streams. This integrated approach ensures that cybersecurity is embedded in vehicle platforms from the initial design phase through production and long-term operations.
