Gujarat Gas Limited has officially announced the completion of its Composite Scheme of Arrangement, effective as of May 1, 2026. Following the approval from the Ministry of Corporate Affairs, the company has completed the necessary filings, leading to the formal dissolution of three transferor companies and the successful demerger of its gas transmission business.
Strategic Corporate Restructuring Finalized
Following the receipt of the necessary regulatory approvals, Gujarat Gas Limited has confirmed that the Composite Scheme of Arrangement became effective on May 1, 2026. This milestone marks the successful conclusion of the filing process with the Registrar of Companies, initiating a significant reorganization for the company.
Amalgamation and Dissolution
As part of the finalized scheme, three entities—Gujarat State Petroleum Corporation Limited, Gujarat State Petronet Limited, and GSPC Energy Limited—have been amalgamated into Gujarat Gas Limited. These entities now stand dissolved without the requirement of winding up, integrating their operations fully into the company.
Gas Transmission Business Demerger
In addition to the amalgamation, the company has completed the strategic demerger of its Gas Transmission Business Undertaking. This business division has been successfully transferred into the newly designated Resulting Company, GSPL Transmission Limited. This move is expected to streamline operational focus and enhance long-term structural efficiency.
