Enviro Infra Engineers Limited has announced a ₹311 crore strategic acquisition of Suyog Urja Limited, a move that marks its entry into the wind energy sector. The transaction will be executed in phases, beginning with a 51% controlling stake for ₹111 crore. This acquisition expands the company’s renewable portfolio, adds a ₹650 crore order book, and creates a multi-vertical infrastructure player specializing in water, solar, BESS, and wind energy solutions.

Strategic Expansion into Wind Energy

Enviro Infra Engineers Limited is diversifying its renewable energy footprint through the acquisition of Suyog Urja Limited, an established wind EPC specialist with over 18 years of industry experience. This transaction, valued at ₹311 crore, allows the company to integrate wind energy projects alongside its existing water, solar, and battery energy storage systems (BESS) operations, positioning it as an integrated renewable energy platform.

Deal Structure and Financials

The acquisition will be completed in phases. The first tranche involves a 51% controlling stake for ₹111 crore, with the remaining 49% to be acquired over the next 2 years. The total consideration is linked to predefined performance milestones to ensure value creation. The funding for this acquisition follows a 50:50 debt-to-equity strategy, utilizing a balanced mix of debt and internal accruals.

Strengthening Market Position

Suyog Urja brings a robust portfolio to the group, including 500+ MW of wind projects completed and 600 MW currently under execution. With an existing order book of ₹650 crore and a focus on high-growth states like Maharashtra, Karnataka, and Madhya Pradesh, the merger is expected to significantly enhance Enviro Infra’s revenue visibility. Furthermore, the company anticipates a cumulative PAT for Suyog Urja of approximately ₹175 crore over the next three fiscal years (FY26–FY28).

Following this acquisition, Enviro Infra Engineers evolves from a water-infrastructure-focused entity into a multi-vertical, scalable platform. By retaining the leadership of the erstwhile promoter, who brings two decades of experience as the CEO of the wind division, the company ensures a seamless transition. This strategic pivot aims to capture broader energy transition opportunities in India, moving beyond government-only projects to include a diversified client base in the private sector.
