Hanne Sorensen, Kosaraju Veerayya Chowdary, and Guenter Karl Butschek will step down as independent directors. Sudha Krishnan has been appointed as an additional independent director. Independent Director Departures
Effective September 30, 2025, Hanne Sorensen will cease to be an Independent Director. She will continue as a director on the Board of Jaguar Land Rover Automotive Plc. Kosaraju Veerayya Chowdary and Guenter Karl Butschek will also step down as Independent Directors, effective October 1, 2025. Both individuals will join the Board of TML Commercial Vehicles Limited.
New Independent Director Appointment
Sudha Krishnan has been appointed as an Additional, Non-Executive Independent Director, commencing October 1, 2025, for a tenure of five years, subject to shareholder approval.
Key Management Personnel Changes
Girish Wagh will resign as Executive Director and KMP, effective October 1, 2025, and will join the Board of TML Commercial Vehicles Limited as an Additional Director, Managing Director & CEO as well as KMP. Shailesh Chandra has been appointed as Managing Director & CEO, also effective October 1, 2025, for a term of three years, subject to shareholder approval.
Chief Financial Officer Transition
P B Balaji has resigned as Group Chief Financial Officer & KMP, effective November 17, 2025, to become the Chief Executive Officer of Jaguar Land Rover Automotive Plc, UK. Dhiman Gupta will be appointed as the Chief Financial Officer & KMP, effective November 17, 2025. P B Balaji will be appointed as an Additional, Non-Executive, Non-Independent Director on the Board of the Company effective November 17, 2025, subject to the approval of shareholders.
NCD Transfer to TML Commercial Vehicles Limited
As part of the demerger scheme, Non-Convertible Debentures (NCDs) totaling ₹2,300 crore will be transferred to TML Commercial Vehicles Limited.
