Mphasis Acquisition of Theory and Practice Business Intelligence Inc. Strengthens AI Capabilities

Mphasis has announced the acquisition of Theory and Practice Business Intelligence Inc. (TAP), a Vancouver-based firm specializing in AI-driven decision intelligence. The deal, valued at an upfront CAD 10 million plus up to CAD 20 million in contingent consideration, aims to bolster Mphasis’ NeoIP™ roadmap. By integrating TAP’s Continuum AI platform, Mphasis plans to enhance its offerings in retail, CPG, and financial services, enabling clients to transition from isolated AI pilots to scalable enterprise-wide solutions.

Strategic Expansion in AI

On April 21, 2026, Mphasis confirmed the acquisition of Theory and Practice Business Intelligence Inc. (TAP) to enhance its ‘Decisioning Intelligence’ capabilities. TAP is a technology company established in 2018 that leverages AI and behavioral economics to assist enterprises in financial services, retail, and consumer packaged goods (CPG) with real-time decision-making.

Financial and Structural Details

The acquisition involves an upfront cash consideration of CAD 10 million at closing. Additionally, the deal includes a management milestone-based, multi-year contingent consideration of up to CAD 20 million. Following the completion of the transaction, TAP has become a wholly owned subsidiary of Mphasis Ireland Limited, effectively functioning as a step-down subsidiary of Mphasis.

Impact on Service Offerings

The integration of TAP’s Continuum AI platform provides Mphasis with a modular, scalable layer to support complex enterprise workflows. This platform combines causal modeling and optimization to help businesses harmonize intelligence across various functions, including demand forecasting, supply chain, and marketing. Dr. Rogayeh Tabrizi, Founder & CEO of Theory and Practice, will join the Mphasis leadership team as Executive Vice President – CPG and Head of Decision AI to spearhead these efforts.

Growth Objectives

Mphasis highlighted three primary goals for this acquisition: reinforcing its position as an AI-led, platform-enabled service provider, expanding its Retail and CPG portfolio, and acquiring a specialized team of experts in data science and behavioral economics. This move is designed to accelerate Mphasis’ ability to turn domain-specific AI successes into reusable, governed decision assets that can be scaled across the enterprise ecosystem.
