Adani Ports and Special Economic Zone NCLT Approves Merger of Adani Harbour Services

Adani Ports and Special Economic Zone Limited (APSEZL) has received formal approval from the National Company Law Tribunal (NCLT), Ahmedabad Bench, for the merger of its wholly-owned subsidiary, Adani Harbour Services Limited. The order, issued on April 1, 2026, marks the final legal step in the amalgamation process that was previously initiated by the company in late 2025.

Strategic Corporate Consolidation

Following a successful petition process, the NCLT has sanctioned the Scheme of Amalgamation between Adani Harbour Services Limited (the Transferor Company) and Adani Ports and Special Economic Zone Limited (the Transferee Company). This consolidation is designed to streamline corporate operations and simplify the group’s organizational structure by integrating its wholly-owned subsidiary directly into the parent entity.

Approval and Finalization

The formal order was passed on April 1, 2026, confirming the legal completion of the merger. This move follows an initial announcement regarding the proposal made on November 4, 2025. The integration of Adani Harbour Services Limited—which specializes in marine and harbor services—is expected to enhance operational synergies and operational efficiency across the port infrastructure network of the parent company.
