Solar Industries India Limited Promoter Transfers 29.23% Stake to Family Trust

Solar Industries India Limited has announced that its promoters, Kailash Chandra Nuwal and Indira Kailashchandra Nuwal, have transferred their combined 29.23% stake in the company to the Sohan Devi Nand Lal Nuwal Family Trust. The transaction, completed on March 9, 2026, was executed as an inter-se gift without any monetary consideration to streamline succession planning and ensure the long-term welfare of the family.

Strategic Succession Planning

The transfer of 2,64,51,193 equity shares represents a strategic internal reorganization within the promoter family. By moving their entire shareholding into the newly formed family trust, the promoters aim to provide a stable, long-term structure for managing their interests in Solar Industries. The move is designed to simplify succession and align family holdings within a dedicated trust entity.

Impact on Shareholding and Control

Despite the change in the legal holder of the shares, the overall control of the company remains firmly with the promoter group. The transaction is strictly an internal realignment, and there has been no change in the total promoter group’s shareholding of 73.15%. The trust will hold the 29.23% stake for the benefit of family members, ensuring that the management and control of the organization remain consistent with existing objectives.

Transaction Details

The transfer was executed on March 9, 2026, as an off-market transaction. This non-commercial gift ensures that there is no impact on public shareholders or the company’s public float. All regulatory conditions have been satisfied, and the governance structure, including the board of directors and executive leadership, remains unchanged following this internal transfer.
