Asian Paints Effective Date Confirmed for Amalgamation with Subsidiary AP Polymers

Asian Paints Limited announced the official effective date for the amalgamation of its wholly-owned subsidiary, Asian Paints (Polymers) Private Limited (AP Polymers), into the parent company. The scheme was sanctioned by the NCLT and became effective on March 31, 2026. Following the filing of the certified order with the Registrar of Companies, the Transferor Company, AP Polymers, has been dissolved without winding up.

Confirmation of Amalgamation Effective Date

Asian Paints Limited has issued an official intimation confirming the successful completion of the Scheme of Amalgamation involving its subsidiary, Asian Paints (Polymers) Private Limited (referred to as AP Polymers or the Transferor Company). This announcement follows the initial disclosure dated 10th March 2026, regarding the sanctioning of the scheme by the Hon’ble National Company Law Tribunal, Mumbai Bench.

Key Finalization Milestones

The management confirmed that today, 31st March 2026, the certified true copy of the Order sanctioning the Scheme of Amalgamation was officially filed with the Registrar of Companies, Mumbai, Maharashtra. As a direct result of this filing, the Effective Date of the Scheme of Amalgamation is confirmed as 31st March 2026.

Consequence of Effective Date

Upon the aforementioned filing, the Transferor Company, AP Polymers, is deemed to have been dissolved immediately, carrying out the merger without any winding up process. This strategic internal restructuring aims to simplify the corporate structure and integrate the polymer business operations fully into Asian Paints Limited (the Transferee Company).
