JSW Energy Completes Acquisition of Raigarh Champa Rail Infrastructure Private Limited

JSW Energy Limited has finalized the acquisition of Raigarh Champa Rail Infrastructure Private Limited (RCRIPL) through the corporate insolvency resolution process. This acquisition secures 100% equity, making RCRIPL a wholly-owned subsidiary. RCRIPL provides critical railway services to JSW Mahanadi Power Company Limited (JMPCL), whose power plant is located in Chhattisgarh. The transaction value under the resolution plan totaled ₹700.1 crores.

Acquisition of RCRIPL Finalized

JSW Energy Limited announced on March 26, 2026, that it has successfully completed the acquisition of Raigarh Champa Rail Infrastructure Private Limited (RCRIPL). This completion follows the approval of the Resolution Plan by the National Company Law Tribunal (NCLT) on January 21, 2026.

The transaction results in JSW Energy holding 100% equity shares of RCRIPL, thus making it a wholly-owned subsidiary of the Company.

Strategic Rationale and Target Details

RCRIPL is strategically important as it provides essential railway infrastructure services to JSW Mahanadi Power Company Limited (JMPCL). JMPCL operates a 3,600 MW thermal power plant in Chhattisgarh, with 1,800 MW operational and the balance under construction.

The acquisition is considered strategically crucial to ensure uninterrupted railway services for power generation at JMPCL, thereby enhancing reliability and reducing dependency risks. Prior to this, RCRIPL was an associate company of JMPCL.

RCRIPL’s operations resulted in a Revenue from Operations of ₹54 crores in FY 2024–25. The company was incorporated in India on May 14, 2009.

Transaction Value and Consideration

The total cost of the acquisition, which constitutes the total Resolution Amount, is ₹700.10 crores.

The consideration was settled through a mix of cash consideration by the Company and the issuance of Non-Convertible Debentures by RCRIPL to the Financial Creditors.

Impact on JSW Energy’s Portfolio

This acquisition, combined with the recent consummation of KSK Water Infrastructures Private Limited, further secures critical resources for JMPCL’s entire 3,600 MW capacity.

JSW Energy currently holds a total locked-in generation capacity of 32.1 GW, comprising 13.3 GW operational capacity and 14.2 GW under-construction across thermal and renewable sources. The company also maintains a pipeline of 4.6 GW.

The Company’s strategic goals include reaching 30 GW generation capacity and 40 GWh of energy storage capacity by 2030, aiming for Carbon Neutrality by 2050.
