This amalgamation was carried out pursuant to a Scheme of Amalgamation approved by the Regional Director, Western Region, Ministry of Corporate Affairs. The official order sanctioning the scheme was dated March 13, 2026. Importantly, the Appointed Date for the scheme, which sets the accounting retrospective date, was established as August 10, 2025.
The certified copy of the approval order was filed with the Registrar of Companies on March 24, 2026. This filing date marks the effective date of the amalgamation as stipulated in the Scheme.
Impact on Subsidiary Status
As a direct result of this corporate action, SiliConch Systems Private Limited has ceased to be a step-down subsidiary of Larsen & Toubro Limited, effective from the closing hours of March 24, 2026.
