Balkrishna Industries Limited Finance Committee Approves Private Placement of NCDs Worth ₹750 Crore

Balkrishna Industries Limited (BKT) announced that its Finance Committee has approved the issuance of 75,000 Non-Convertible Debentures (NCDs) via private placement. The total aggregate principal amount approved is INR 7,500,000,000 (₹750 Crore). These listed, unsecured, and redeemable NCDs will be issued in three series with tenures ranging from 3 to 5 years and coupons between 7.20% and 7.55% p.a. The allotment date for all series is fixed for March 23, 2026.

BKT Approves Major Debt Issuance

Balkrishna Industries Limited today confirmed that the Finance Committee of the Board of Directors has sanctioned the proposal to raise funds through the issuance of Non-Convertible Debentures (NCDs) on a private placement basis. The committee convened on March 23, 2026, between 11:30 a.m. and 11:55 a.m. IST to approve the transaction.

Key Financial Details of the Issuance

The issuance involves 75,000 rated, listed, unsecured, redeemable, non-convertible debentures. Each debenture has a face value of INR 100,000 (One Lakh only). This results in an aggregate principal amount of up to INR 7,500,000,000 (Seven Hundred Fifty Crore).

The NCDs are structured into three distinct series to be placed with eligible investors:

  • Series I: Tenure of 3 years, Coupon Rate of 7.20% p.a., and maturity date of March 23, 2029.
  • Series II: Tenure of 4 years, Coupon Rate of 7.38% p.a., and maturity date of March 22, 2030.
  • Series III: Tenure of 5 years, Coupon Rate of 7.55% p.a., and maturity date of March 21, 2031.

The Date of Allotment for all three series is uniformly set as March 23, 2026. The instruments are proposed to be listed on the BSE Limited.

Structural Features

The NCDs are noted to be unsecured, meaning no specific assets have been charged over for security. Furthermore, the payment schedule for coupon interest and principal repayment will be as specified in the key information document prepared for the issuance.
