The Board also greenlit a capital expenditure increase to ₹159.38 Crore for RE power transmission to the Anjar facility.

Acquisition of Stake in WCSL

The Board approved the acquisition of 3,500 equity shares of Welspun Corporate Services Limited (“WCSL”) (formerly Welspun Home Textiles Limited). This acquisition represents 35% of WCSL’s total paid-up equity share capital for a consideration of Rs. 35,000/-. The remaining 65% stake will be acquired by other Welspun Group entities.

The stated objective is to establish WCSL as a centralized corporate services platform for the entire Welspun Group, handling integrated management and support functions, including legal, regulatory, and taxation services. Consequently, WCSL will become an associate company of Welspun Living Limited.

  • Industry: Consultancy Services.
  • Relationship: The transaction constitutes a related party transaction as WCSL is within the promoter group and will be executed on an arms’ length basis.

Management Changes Approved

Following recommendations from the Nomination and Remuneration Committee, the Board acted on key personnel changes within the Senior Management Team.

Resignation of CHRO

The Board noted the resignation of Mr. Rajesh Jain as Chief Human Resources Officer (CHRO) and member of the Senior Management Team. His resignation is effective close of business hours on March 31, 2026.

Appointment of New VP – HR

The Board approved the appointment of Ms. Sonia Sharma as Vice President – Human Resource, effective April 01, 2026. Ms. Sharma will also join the Senior Management Team.

Ms. Sharma brings over two decades of experience across the Welspun Group. Her profile highlights deep expertise in strategic HR leadership, organizational transformation, and talent management. She previously served as CHRO at Welspun One Logistics Parks.

Increase in Capital Expenditure for Anjar Facility

In a move to strengthen its infrastructure capabilities, the Board approved a significant increase in capital expenditure related to renewable energy transmission for the Anjar facility.

The approved expenditure has been increased from the previously announced Rs. 75 Crore to Rs. 159.38 Crore. This enhanced funding covers CTU connectivity, land acquisition, sub-station bay erection, and transmission line work necessary for supplying RE power to the Anjar facility.

The Board meeting commenced at 12:30 P.M. and all agenda items were officially approved by 2:15 P.M. on the date of the announcement.
