Sunteck Realty Ltd. Restructuring of Wholly-Owned Subsidiaries Leads to Step-Down Status Changes

Sunteck Realty has restructured its internal holdings by transferring the stakes of two wholly-owned subsidiaries. The company sold its 100% stake in Magenta Buildcon Private Limited (Magenta) to Etashi Real Estates Private Limited (Etashi). Similarly, the stake in Sunteck Infracon Private Limited was transferred to Magenta. This strategic reorganization resulted in both Magenta and Sunteck Infracon becoming wholly-owned step-down subsidiaries of the main company as of March 13, 2026.

Internal Restructuring of Subsidiary Holdings

Sunteck Realty Ltd. announced a significant internal reorganization involving the transfer of ownership stakes between its wholly-owned subsidiaries, effective March 13, 2026. This move reshapes the structure, though the underlying control remains within the group.

Transaction 1: Magenta Buildcon

The Company has completed the transfer of its 100% stake in its wholly-owned subsidiary, Magenta Buildcon Private Limited (Magenta), to another wholly-owned subsidiary, Etashi Real Estates Private Limited (Etashi). Consequently, Magenta now holds the status of a wholly-owned Step-down subsidiary.

Transaction 2: Sunteck Infracon

In a related transaction, the Company transferred its 100% stake in its wholly-owned subsidiary, Sunteck Infracon Private Limited, to Magenta. As a result of this sale, Sunteck Infracon also assumes the status of a Step-down wholly-owned subsidiary of Sunteck Realty Limited.

Details of Transfers

The consideration received for the sale/disposal in both transactions was identical, amounting to Rs. 1,00,000/- each. The expected date of completion for both sales was confirmed as the date of the agreement, March 13, 2026.

Buyer Details and Related Party Status

  • Buyer for Magenta Buildcon: Etashi Real Estates Private Limited, confirmed as a wholly-owned subsidiary of Sunteck Realty Limited.
  • Buyer for Sunteck Infracon: Magenta Buildcon Private Limited, confirmed as a wholly-owned step-down subsidiary of Sunteck Realty Limited.

Both transactions are classified as related party transactions because they occur between the Company and its wholly-owned or step-down subsidiaries. Crucially, the Company confirmed that both transfers were conducted on an “arm’s length basis”.

Status of Subsidiaries Pre-Transaction

For Magenta Buildcon Private Limited, which was incorporated on August 13, 2025, the revenue and net worth data for the last financial year were Not applicable due to its recent incorporation.

Conversely, Sunteck Infracon Private Limited reported Nil Revenue from Operations, with a Total Net Worth of Rs. 0.11 Lakh during the last financial year.
