Kalpataru Projects International Limited (KPIL) announced that its step-down wholly owned subsidiary, Fasttel Engenharia S.A., has filed for Judicial Reorganization in Brazil on March 5, 2026. This is a standard collective restructuring procedure under Brazilian law. KPIL is currently assessing the financial impact of this filing on its exposure to Fasttel and will record necessary provisions. Crucially, the immediate shareholding pattern in Fasttel remains unchanged.
Subsidiary Initiates Restructuring Procedure
Kalpataru Projects International Limited (KPIL) has disclosed that its step-down wholly owned subsidiary, Fasttel Engenharia S.A. (“Fasttel”), has taken a significant procedural step in Brazil. On March 5, 2026, Fasttel submitted an application for Judicial Reorganization (“RJ”) before the competent judicial authority under the provisions of Lei nº 11.101/2005.
The RJ process is described as a collective restructuring procedure where the debtor presents a reorganization plan to various classes of creditors for approval, followed by judicial confirmation. The stated objective of this procedure is to implement the reorganization plan while ensuring business continuity for Fasttel.
Impact on KPIL and Shareholding
KPIL has clarified two immediate aspects following the filing. Firstly, there will be no immediate change in the shareholding pattern of Fasttel, nor will the effective percentage shareholding held by KPIL in Fasttel be affected at this stage.
Secondly, the Company is actively engaged in the process of assessing and quantifying the full financial impact of the RJ on its exposure related to Fasttel. Based on this assessment, KPIL confirms it will recognize the appropriate provision in its books of accounts.
This information regarding the submission of the RJ application was formally received by KPIL on March 6, 2026, at approximately 02:32 a.m. IST.
