Valor Estate Limited Board Approves Acquisition of Bamboo Hotel Stake and Inter-Company Guarantees

Valor Estate Limited (formerly D B Realty) announced that its Board approved two significant transactions on March 5, 2026. Firstly, the company will acquire shares of Bamboo Hotel and Global Centre (Delhi) Private Limited from Advent Hotels International Limited, gaining a 49% associate stake. Secondly, the Board approved reciprocal corporate guarantees between the company and its wholly-owned subsidiary, DB View Infracon Private Limited, involving facilities up to Rs. 110 crores each with Capri Global Private Limited.

Board Resolutions on March 5, 2026

The Board of Directors of Valor Estate Limited (formerly D B Realty Limited) convened on Thursday, March 5, 2026, and approved key resolutions concerning related party transactions and financing arrangements, subject to shareholder approval.

Acquisition of Bamboo Hotel Shares (Annexure I)

The primary transaction approved is the acquisition of shares in Bamboo Hotel and Global Centre (Delhi) Private Limited (“Bamboo Hotel”) from Advent Hotels International Limited (“Seller”).

  • Target Industry: Hotel & Hospitality Business.
  • Transaction Rationale: To place a non-controlling stake in the long gestation, funding-intensive project, allowing Valor Estate to manage completion and optimize value extraction.
  • Shareholding Change: Post-acquisition, the Company will hold 49% shares in Bamboo Hotel, making it an Associate company.
  • Consideration Structure: The consideration, valued at approximately Rs. 596.70 Crores for 9,89,800 equity shares, along with the takeover of outstanding loans aggregating to approximately Rs. 1058.89 crores granted by Advent Hotels, will be settled against existing receivables due from the Seller.
  • Timeline: The acquisition is expected to complete within 60 days.

Reciprocal Corporate Guarantees (Annexure II)

The Board also approved the issuance of corporate guarantees to secure term loans for both the Company and its subsidiary, DB View Infracon Private Limited (“DB View”).

Guarantee by Valor Estate for DB View (Annexure II(a))

Valor Estate Limited will provide a corporate guarantee in favor of the Lender/Trustee for the term loan availed by DB View, in addition to other securities.

  • Borrower: DB View Infracon Private Limited (wholly owned subsidiary).
  • Lender: Capri Global Private Limited.
  • Facility Amount: Upto Rs. 110 crores.
  • Interest Status: The Promoter/Promoter group companies have no interest in this transaction, which is being conducted on an arm’s length basis.

Guarantee by DB View for Valor Estate (Annexure II(b))

Concurrently, DB View will provide a corporate guarantee to secure the term loan to be availed by Valor Estate Limited (“The Company”).

  • Borrower: Valor Estate Limited (“The Company”).
  • Lender: Capri Global Private Limited.
  • Facility Amount: Upto Rs. 110 crores.
  • Interest Status: This transaction is also confirmed to be on an arm’s length basis.

The requisite disclosures regarding the accounting treatment and compliance with relevant regulations will be duly followed for both guarantee structures.
