This communication serves as a follow-up to the earlier intimation dated December 15, 2025, regarding the incorporation of Swara Corp. in Delaware, USA. Swara Corp. is a subsidiary of Swara Baby Products Limited, making it a step-down subsidiary of the Company (Brainbees Solutions Limited).
Extension of Initial Subscription
The primary purpose of this notification is to inform stakeholders about a change in the timeline for the capital infusion. Initially, the initial subscription for 10,000 shares (with a par value of $1.00 per share) by Swara Baby was scheduled to be completed by February 28, 2026.
However, the Company has received confirmation that Swara Baby intends to extend this deadline. The remittance for the initial subscription amount into Swara Corp., USA, is now proposed to be completed by April 30, 2026. This extension has been necessitated due to procedural delays encountered during the setup process.
