Persistent Systems ESOP Trust to Execute Scheduled Secondary Share Purchase Up To 125,000 Shares

Persistent Systems announced the continuation of its secondary market share purchase plan by the PSPL ESOP Management Trust. To meet upcoming vesting commitments under PESOS 2014 and ESOP 2017, the Trust plans to acquire not exceeding 125,000 Equity Shares by the end of Q4FY26 (March 31, 2026). This purchasing program is set to commence from the week starting Monday, March 2, 2026, through multiple tranches.

Continuation of Secondary Share Acquisition Plan

Persistent Systems has informed the stock exchanges about the planned continuation of the Secondary Market Purchase of its Equity Shares by the PSPL ESOP Management Trust (ESOP Trust). This action is taken to facilitate the fulfillment of vesting commitments under the existing employee benefit schemes: the Persistent Employees Stock Option Scheme 2014 (‘PESOS 2014’) and the Employee Stock Option Plan 2017 (‘ESOP 2017’).

Purchase Details and Targets

This renewed acquisition drive aims to purchase not exceeding 125,000 Equity Shares of the Company. This purchase is targeted for completion by the end of Q4FY26, which corresponds to March 31, 2026.

This plan follows a previous acquisition, where the ESOP Trust had successfully purchased 74,255 Equity Shares during Q4FY25 (before March 31, 2025).

Execution Modalities

The acquisition will be executed through the following agreed procedures:

  1. Purchase of shares in multiple tranches through ESOP Trust, except during periods when the Trading Window is closed.
  2. The purchase plan will commence from the week starting Monday, March 2, 2026.

The ESOP Trust manages the acquired shares, transferring them to eligible employees through off-market transfers upon the exercise of their stock options.
