Reliance Enterprise Intelligence Limited (REIL), previously a step-down wholly owned subsidiary of Reliance Industries, has undergone a structural change following a major equity allotment on February 25, 2026. REIL allotted shares to both Reliance Intelligence Limited and Facebook Overseas, Inc. This transaction results in Reliance Intelligence holding 70% of REIL, causing REIL to cease being a wholly owned subsidiary and become a standard step-down subsidiary.
Equity Restructuring of Subsidiary REIL
Reliance Industries Limited has announced a significant change in the ownership structure of its subsidiary, Reliance Enterprise Intelligence Limited (“REIL”). This notification follows prior disclosures made on August 29, 2025, September 10, 2025, and October 25, 2025.
Today, REIL allotted a total of 85,31,75,000 equity shares, each with a face value of Rs. 10/-, issued at par. The allocation was split between two entities:
- Reliance Intelligence Limited (a wholly owned subsidiary of the Company) received 59,66,22,500 equity shares, aggregating Rs. 596.6 crore.
- Facebook Overseas, Inc. (a wholly owned subsidiary of Meta Platforms, Inc.) received 25,65,52,500 equity shares, aggregating Rs. 256.6 crore.
Impact on Subsidiary Status
Post the allotment, the equity holding in REIL is distributed as follows: Reliance Intelligence Limited now holds 70% of the total equity capital, while Facebook Overseas, Inc. holds the remaining 30%.
Consequently, REIL has ceased to be a step-down wholly owned subsidiary and has now transitioned to being a step-down subsidiary of Reliance Industries Limited.
Transaction Details
All requisite approvals for this investment have been secured. The transaction between REIL and Facebook Overseas, Inc. has been confirmed as not a related party transaction. Conversely, the transaction involving REIL and Reliance Intelligence Limited is classified as a related party transaction but was executed on an arm’s length basis.
The disclosure confirms that none of the Company’s promoter, promoter group, or group companies hold any direct interest in the transactions detailed above.
