Completion of Internal Group Restructuring

Redington Limited has received notification from its listed Turkish stepdown subsidiary, Arena Bilgisayar Sanayi Ve Ticaret A.Ş. (“Arena”), regarding the conclusion of a significant internal restructuring exercise. This corporate action was made effective on February 9, 2026.

Details of the Transfer and Merger

The primary steps involved the transfer of 100% ownership of Arena Connect Teknoloji Sanayi ve Ticaret A.Ş. (“Arena Connect”), a wholly owned subsidiary of Arena, to Arena Mobile İletişim Hizmetleri ve Tüketici Elektroniği Sanayi ve Ticaret A.Ş. Following the ownership transfer, Arena Mobile was merged with Arena Connect. Post-merger, Arena Connect continues to function as the subsisting entity and remains a 100% subsidiary of Arena.

The strategic purpose behind this internal restructuring was explicitly stated as the need to achieve entity rationalization and enhance operational efficiency within the group structure. The quantitative or qualitative effect of the restructuring is aligned with achieving these efficiency goals.

There is no change in the shareholding pattern of any entities involved, as the entities remained wholly owned subsidiaries throughout the process, only changing their internal structural relationships.
