Kajaria Ceramics Board Approves Acquisitions and Leadership Changes

Kajaria Ceramics’ Board of Directors has approved key strategic decisions, including the acquisition of additional shares in Kajaria Adhesive Private Limited (KAPL) and Kajaria Surfaces Private Limited, making them wholly-owned subsidiaries. Additionally, Mr. Ram Chandra Rawat will step down as COO & Company Secretary on March 31, 2026, with Mr. Vinit Kumar appointed as the new Company Secretary effective April 1, 2026.

Subsidiary Acquisitions

The Board has approved the acquisition of 2,500 equity shares of Kajaria Adhesive Private Limited (KAPL) for a consideration of up to Rs. 25,000. This move will make KAPL a wholly-owned subsidiary of Kajaria Ceramics.

Additionally, the company will acquire 9,50,000 equity shares of Kajaria Surfaces Private Limited for a consideration of up to Rs. 1.20 crores, resulting in Kajaria Surfaces also becoming a wholly-owned subsidiary.

Leadership Transition

Mr. Ram Chandra Rawat will be stepping down from his role as COO (A&T) & Company Secretary on March 31, 2026. Consequently, he will also cease to be the Compliance Officer, Key Managerial Personnel, and Senior Management of the Company.

Effective April 1, 2026, Mr. Vinit Kumar has been appointed as the new Company Secretary, designated as the General Counsel & Company Secretary. He will also take on the responsibilities of Compliance Officer, Key Managerial Personnel, and Senior Management.

Operating Committee Reconstitution

The Operating Committee, authorized for determining materiality of events and disclosures, has been reconstituted as follows:

  • Mr. Ashok Kajaria – Chairman
  • Mr. Chetan Kajaria – Vice Chairman
  • Mr. Rishi Kajaria – Managing Director
  • Mr. Sanjeev Agarwal – Chief Financial Officer
  • Mr. Ram Chandra Rawat – COO (A&T) & Company Secretary (until March 31, 2026)
  • Mr. Vinit Kumar – (effective April 1, 2026)
