Kajaria Ceramics Board Approves Financial Results, Acquisitions, and Leadership Changes

The Board of Directors at Kajaria Ceramics approved the unaudited financial results for Q3 FY26. The board also approved the acquisition of additional shares in Kajaria Adhesive Private Limited and Kajaria Surfaces Private Limited, making them wholly-owned subsidiaries. There were also key leadership updates, including the superannuation of Mr. Ram Chandra Rawat and the appointment of Mr. Vinit Kumar as Company Secretary.

Financial Performance Approved

Kajaria Ceramics has released its unaudited financial results for the quarter and nine months ended December 31, 2025 (Q3 FY26). The results were reviewed and approved by the Board of Directors. Key figures from the standalone results include total income of ₹1,071.01 crores and a profit after tax of ₹93.03 crores. Consolidated figures show total income of ₹1,179.92 crores and a profit after tax of ₹86.15 crores.

Strategic Acquisitions

Kajaria Ceramics is moving forward with strategic acquisitions, increasing its stake in two key entities:

Kajaria Adhesive Private Limited (KAPL): An additional 2,500 equity shares were acquired for ₹25,000, bringing Kajaria Ceramics’ ownership to 100%.

Kajaria Surfaces Private Limited: The company acquired 9,50,000 equity shares for approximately ₹1.20 crores, also resulting in 100% ownership by Kajaria Ceramics.

Leadership Transition

Several important leadership changes were announced:

Mr. Ram Chandra Rawat: Mr. Rawat will be retiring from his position as COO (A&T) & Company Secretary effective close of business on March 31, 2026. He will also cease to be the Compliance Officer, Key Managerial Personnel, and Senior Management on the same date.

Mr. Vinit Kumar: Effective April 1, 2026, Mr. Kumar has been appointed as the Company Secretary and will also take on the roles of General Counsel, Compliance Officer, Key Managerial Personnel and Senior Management.

Operating Committee Reconstituted

The company has re-constituted its Operating Committee. Key members are:

Mr. Ashok Kajaria: Chairman

Mr. Chetan Kajaria: Vice Chairman

Mr. Rishi Kajaria: Managing Director

Mr. Sanjeev Agarwal: Chief Financial Officer

Mr. Ram Chandra Rawat: COO (A&T) & Company Secretary (Until March 31, 2026)

Mr. Vinit Kumar: Will replace Mr. Rawat effective April 1, 2026
