Kajaria Ceramics has released its unaudited financial results for Q3 and 9M ending December 31, 2025, alongside announcements of key acquisitions and management changes. The company has approved the acquisition of additional equity shares in Kajaria Adhesive Private Limited and Kajaria Surfaces Private Limited to make them wholly-owned subsidiaries. Mr. Ram Chandra Rawat will be retiring, with Mr. Vinit Kumar appointed as Company Secretary and Compliance Officer.

Financial Performance Overview

Kajaria Ceramics has announced its unaudited financial results for the quarter and nine months ended December 31, 2025. Key figures from the standalone results include:

  • Revenue from operations for the nine months ended December 31, 2025: ₹3,139.40 crores
  • Profit after tax for the nine months ended December 31, 2025: ₹313.42 crores

The board approved the unaudited financial results at a meeting held on January 30, 2026.

Strategic Acquisitions

Kajaria Ceramics is expanding its portfolio through strategic acquisitions:

  • Kajaria Adhesive Private Limited (KAPL): Acquisition of 2,500 equity shares to make KAPL a wholly-owned subsidiary. The consideration value is up to ₹25,000.
  • Kajaria Surfaces Private Limited: Acquisition of 9,50,000 equity shares to make Kajaria Surfaces a wholly-owned subsidiary. The consideration value is up to ₹1.20 crores.

Management Transition

There are key changes within the company’s leadership:

  • Mr. Ram Chandra Rawat, COO (A&T) & Company Secretary, will be retiring effective close of working hours on March 31, 2026. He will also cease to be the Compliance Officer and Key Managerial Personnel.
  • Mr. Vinit Kumar has been appointed as the Company Secretary and designated as General Counsel & Company Secretary, effective April 1, 2026. He will also be the Compliance Officer and Key Managerial Personnel.

Operating Committee Reconstitution

The Operating Committee, authorized for determining materiality of events and disclosures, has been reconstituted. Key members include:

  • Mr. Ashok Kajaria: Chairman
  • Mr. Chetan Kajaria: Vice Chairman
  • Mr. Rishi Kajaria: Managing Director
  • Mr. Sanjeev Agarwal: Chief Financial Officer

Effective April 1, 2026, Mr. Vinit Kumar will take the place of Mr. Ram Chandra Rawat on the Operating Committee.
