KPIT Technologies Interim Dividend, Board Changes, and Strategic Restructuring

KPIT Technologies announced an interim dividend of ₹2.25 per share for the financial year 2025-26, with a record date set for February 4, 2026. The company also appointed Mr. Parag Shah as an Additional & Independent Director and Mr. Anup Sable as Chief Operating Officer (COO). Additionally, two promoters requested reclassification to the ‘Public’ category, and a 26% shareholding transfer within the group occurred in N-Dream AG.

Interim Dividend Announcement

KPIT Technologies has declared an interim dividend of ₹2.25 per equity share (22.50% of face value of ₹10 each) for the financial year 2025-26. The dividend will be paid to the company’s members, adhering to the provisions of the Companies Act, 2013. The record date for determining eligibility for the dividend is Wednesday, February 4, 2026.

Board of Directors: New Appointment

Mr. Parag Shah has been appointed as an Additional & Independent Director, effective from January 29, 2026. The appointment brings expertise in business building, turnarounds, and innovation. Mr. Anup Sable has also been appointed as Chief Operating Officer (COO) of the Company with immediate effect.

Promoter Reclassification Request

The Board of Directors considered requests from two promoters, Ajay Shridhar Bhagwat and Ashwini Ajay Bhagwat, to reclassify their shareholding from “Promoter & Promoter Group” to “Public Shareholder(s).” The board approved the reclassification, subject to stock exchange approvals, noting that their shareholding is now purely a financial investment and they do not have strategic control in the company. The total shareholding subject to reclassification is 22,03,539 shares.

Internal Restructuring: N-Dream AG

Within the KPIT group, a 26% shareholding in N-Dream AG, a step-down subsidiary, was transferred from KPIT Technologies to KPIT Technologies (UK) Limited (a wholly-owned subsidiary). KPIT group continues to hold 90% in N-Dream AG, which remains unchanged. This move aims to streamline the group’s organizational structure. N-Dream AG is a cloud-based Game Aggregation Platform company focusing on enhancing the driver and passenger experience in the Automotive sector.
