Godrej Industries Divestment of Godrej Capital Completed, Investment in Godrej Investment

Godrej Industries has completed the divestment of its entire equity stake in Godrej Capital Limited to its wholly-owned subsidiary, Godrej Investment Limited, effective January 28, 2026. Furthermore, Godrej Investment Limited has acquired additional equity shares through a rights issue. Godrej Capital Limited ceases to be a direct subsidiary and becomes a step-down subsidiary. The transaction is aimed at streamlining the group’s financial services business under Godrej Investment Limited.

Divestment of Godrej Capital

Godrej Industries Limited (“GIL”) has divested its entire equity stake in Godrej Capital Limited (“GCL”) to Godrej Investment Limited (“GINVL”) on January 28, 2026. As a result, Godrej Capital Limited is no longer a direct subsidiary of Godrej Industries.

Godrej Capital Becomes Step-Down Subsidiary

Following the divestment, Godrej Capital Limited has become a step-down subsidiary of Godrej Industries, with Godrej Investment Limited as the immediate holding company. Godrej Investment Limited remains a wholly-owned subsidiary of Godrej Industries.

Investment in Godrej Investment Limited

Godrej Industries made further investments in its wholly-owned subsidiary, Godrej Investment Limited, which was incorporated on January 5, 2026. GIL acquired 3,89,775 fully paid-up equity shares of Godrej Investment Limited with a face value of ₹10 each, through a rights issue. The total consideration paid for the acquisition of GINVL is ₹3,862,69,28,016. Godrej Investment Limited is yet to commence business operations.

Financial Details of Godrej Capital

Godrej Capital Limited contributed to 7.90% of the turnover/revenue/income, amounting to ₹1,553.80 Crore, and 32.71% of the net worth, amounting to ₹3,321.07 Crore, of Godrej Industries during the financial year ended March 31, 2025.
