Jio Finance Monitoring Agency Report for Q4 2025

Jio Financial Services has released its Monitoring Agency Report for the quarter ending December 31, 2025 (Q4 2025). The report, issued by CRISIL Ratings Limited, focuses on the utilization of proceeds raised through a preferential issue by the company. The monitoring agency confirms that the utilization aligns with the disclosed objectives, primarily the infusion of funds into existing and new subsidiaries and joint ventures.

Preferential Issue Proceeds

A monitoring agency report was conducted concerning the preferential issue (PI) of Jio Financial Services Limited. As of December 31, 2025, the proceeds are primarily earmarked for investment into existing and new subsidiaries and joint ventures.

Issue Details

The preferential issue was initiated on September 3, 2025, involving convertible warrants. The issue size is up to 50 crore warrants at a price of ₹316.50 per warrant, convertible into fully paid-up equity shares, totaling ₹15,825 crore.

Fund Utilization

As of the end of Q4 2025, a total of ₹1,090.44 crore has been utilized out of the total issue size of ₹15,825 crore. Of this, ₹1,089.99 crore was allocated to the infusion of funds into existing and new subsidiaries / joint ventures, with the remaining ₹0.45 crore directed towards general corporate purposes.

Subsidiary Investments

During the quarter, investments were made into Jio Leasing Services Limited (₹48.97 crore via optionally convertible preference shares) and into joint ventures with Jio BlackRock Asset Management Private Limited (₹136.00 crore) and Jio BlackRock Investment Advisers Private Limited (₹81.22 crore).

Deployment of Unutilized Proceeds

Unutilized proceeds are invested in various mutual funds including Nippon India Mutual Fund (₹1,001.03 crore), HDFC Mutual Fund (₹582.78 crore), Kotak Mutual Fund (₹232.00 crore), SBI Mutual Fund (₹750.00 crore) and Bandhan Bank Mutual Fund (₹300.00 crore). The total investment value is ₹2,865.81 crore with a market value as of the end of the quarter at ₹2,925.23 crore.
