ZF Group Clarification on ADAS Business Sale Impact on Commercial Vehicle Solutions

ZF Commercial Vehicle Solutions clarifies the impact of ZF Friedrichshafen AG’s sale of Advanced Driver Assistance Systems (ADAS) for passenger cars to Harman International Inc. The sale exclusively applies to the passenger car ADAS division and does not affect ZF CVS’s ADAS solutions for commercial vehicles. Existing customer contracts, service arrangements, and program deliveries remain unchanged, ensuring continuity for commercial vehicle customers.

ADAS Business Sale: Clarification

ZF Commercial Vehicle Solutions (CVS) addresses inquiries regarding the sale of Advanced Driver Assistance Systems (ADAS) for passenger cars by ZF Friedrichshafen AG to Harman International Inc., announced on December 23, 2025. This announcement prompted questions about the impact on ZF CVS’s India operations and its commercial vehicle ADAS solutions.

Scope of the Transaction

ZF CVS confirms that the transfer of certain Advanced Driver Assistance Systems (ADAS) activities applies exclusively to its ADAS Division portfolio, specifically focusing on Compute Solutions, Camera, Radar, and Passenger Car ADAS functions. The announcement clarifies that it does not pertain to the ADAS portfolio of the ZF CVS Division.

Impact on Commercial Vehicle ADAS

The ADAS business sale does not affect ZF CVS’s development, supply, service, or support of ADAS solutions for commercial vehicles. ZF CVS will retain dedicated teams, capabilities, and governance needed for developing and supplying ADAS solutions for trucks, coaches, and buses.

Continuity of Service

Existing customer contracts, service arrangements, and terms & conditions remain in force, and program deliveries continue without interruption. There is no impact on customer agreements or project execution; current contractual terms, conditions, and delivery schedules remain unchanged. Customer engineering, program, and service interfaces at ZF CVS are unaffected.

Future ADAS Roadmap

ZF CVS continues to invest in and deliver ADAS innovations tailored to commercial transport requirements. The sale of certain ADAS activities to Harman applies only to ZF’s passenger car ADAS Division. ZF CVS’s Division including all ADAS development, supply, service, and customer programs for trucks, coaches, and buses is not part of the transaction and remains fully unchanged.
